Tata Capital IPO Opens October 6: Tata Capital, a Tata Group financial services company, is preparing to launch its initial public offering (IPO). The company filed its red herring prospectus (RHP) with SEBI and stock exchanges on September 26th. Tata Capital plans to raise approximately ₹16,400 crore (roughly $1.85 billion) through this IPO. This will be the largest issue of 2025.

The company will sell a total of 475.8 million shares in the issue, which includes 210 million new shares (fresh issue) and an offer for sale of 265 million shares by shareholders such as Tata Sons and International Finance Corporation (IFC). The company’s post-money equity valuation is expected to be $16.5 billion (about Rs 1.46 lakh crore). It will open on Monday, October 6, 2025, and close on Wednesday, October 8, 2025. The anchor investor bidding date will be Friday, October 3, 2025.

The report further states that insurance giant LIC could be a major bet on the issue, with the anchor portion expected to be released on October 3rd and the issue launch scheduled between October 6th and 8th.

The company had filed the updated Draft Red Herring Prospectus (DRHP), i.e. draft papers for the IPO, with market regulator Securities and Exchange Board of India (SEBI) on 4 August.

The Company Made a Confidential Pre-Filing

 The company filed draft papers for its IPO with SEBI five months ago. According to media reports, this pre-filing with SEBI for Tata Capital Financial Services Limited’s IPO was confidential.

Tata Sons holds a 93% Stake in Tata Capital. 

Tata Sons is the holding company of Tata Capital. It holds approximately 93% of Tata Capital. The remaining stake is held by other Tata Group companies and trusts. Tata Capital has been granted Upper Layer NBFC (Non-Banking Financial Company) status by the Reserve Bank of India (RBI).

Tata Capital appointed 10 investment banks as advisors for the listing. These banks include Kotak Mahindra Capital, Citi, JP Morgan, Axis Capital, ICICI Securities, HSBC Securities, IIFL Capital, BNP Paribas, SBI Capital and HDFC Bank.

Tata Capital has reported strong growth in its financial performance ahead of the IPO. Net profit for the March 2025 quarter increased by 31% to ₹1,000 crore compared to ₹765 crore in the same quarter last year.

In FY 2024-25, the company’s total net profit increased year-on-year from Rs 3,327 crore to Rs 3,655 crore, while its total revenue increased from Rs 18,175 crore to Rs 28,313 crore.
